Venue & Jurisdiction
These Terms and Conditions of Use and Our Privacy Policy shall be governed by and construed in accordance with the laws of the State of Connecticut, including all matters of construction, validity, performance, and enforcement, and without giving effect to the principles of conflict of laws. You agree that any dispute or lawsuit arising out of, or concerning, this Agreement that is not first resolved by arbitration shall be resolved exclusively in a federal or state court of competent jurisdiction located in Fairfield County, CT. You and Company assume responsibility for their own collection costs and legal fees incurred should enforcement of these conditions become necessary.
Dispute Resolution: Mediation, Arbitration & Court
At Earthseed, we are committed to resolving disagreements in ways that are rooted in compassion, fairness, and dialogue. We believe most conflicts can be addressed through open communication, and we view mediation as the first step toward understanding and resolution. If further support is needed, we provide both arbitration and court pathways, depending on the nature of the dispute.
Mediation. Before pursuing arbitration or court, both you and Earthseed, LLC agree to attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms—including their breach, termination, enforcement, interpretation, or validity—through mediation. Mediation will take place in Fairfield County, Connecticut (or another mutually agreed location) with a mediator chosen jointly by the parties. If no agreement is reached, a mediator will be appointed in accordance with applicable mediation rules.
Arbitration for Smaller Claims. If the dispute involves claims under $25,000 USD, and mediation does not resolve the matter within thirty (30) days of a written request (unless both parties agree to extend), the dispute shall be submitted to binding arbitration administered by the American Arbitration Association under its Consumer or Commercial Rules, as applicable. Arbitration will be conducted in Fairfield County, Connecticut, before a single neutral arbitrator. The arbitrator’s award will be final and enforceable in court.
Court for Larger or Serious Claims. If the dispute involves claims of $25,000 USD or more, or involves allegations of discrimination, harassment, or other serious harms implicating public rights, either party may file the claim in a state or federal court located in Fairfield County, Connecticut. Both you and Earthseed, LLC consent to the exclusive jurisdiction and venue of those courts and waive any objection to such venue (including on the basis of forum non conveniens).
Collective Rights. Nothing in these Terms restricts your right to participate in a class action, collective action, or other group proceeding to the extent permitted by law.
Costs. The costs of mediation or arbitration will be shared equally, unless the mediator or arbitrator determines that a different allocation is fair under the circumstances. Each party will bear its own attorneys’ fees and costs, except as otherwise required by law or expressly provided in these Terms.
